Crest Whitestrips "My Life in Smiles" Photo Competition Submission Requirements

Submitting an entry constitutes your full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor and judges which shall be final and binding on all matters relating to the "My Life in Smiles" Photo Competition (the "Contest").

1. HERE'S HOW IT WORKS: Participants will be required to submit a photo depicting, "My Life in Smiles" beautiful smile moments to enter the contest in accordance with the instructions in Rule #2 and submit a caption in English explaining their "Smile Moment" entry (not to exceed 25 words) which is subject to editing (together, the "Entry"). At the conclusion of the Entry Period (defined herein), judges will determine twenty-five (25) Finalists entries which will be posted on http://www.mylifeinsmiles.comfor visitors to rate and determine the grand-prize winner. Not all Entries will be posted.

2. HERE'S HOW TO ENTER: Beginning 8 a.m. (PT) on 4/4/08 through 11:59 p.m (PT) on 4/30/08 (the "Entry Period"), when you visit www.mylifeinsmiles.com where you must follow the on-screen instructions to enter your submission into the contest in one of five categories. 3. ENTRY REQUIREMENTS/QUALIFICATIONS: Sponsor/judges reserve the right in their sole discretion to disqualify any entry that, in their sole opinion, refers, depicts or in any way reflects negatively upon the Sponsor, the Contest or any other person or entity, or does not comply with these requirements or these Official Rules. Submissions must not contain defamatory words/statements (including words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation, or socioeconomic group); they must not include threats to any person, place, business, or group; they must not invade privacy or other rights of any person, firm, entity, and they must not in any other way violate applicable federal, state, or local laws and regulations. The submission cannot contain any unacceptable clothing or adornments, or display any commercial/corporate advertising (including but not limited to corporate logos, brand names, slogans, political, personal and religious statements) as determined by Sponsor, in its sole discretion. Submissions may not contain indecent behavior, profanities or obscenities, including but not limited to nudity or pornography, and may not in any way disparage persons or organizations associated with Sponsor. Submissions must be suitable for presentation in a public forum, in sole determination of judges and/or Sponsor.

The competition will accept only a two-dimensional digital image (300 dpi minimum) which can later be wall mounted. Video, interactive art, and all other media will not be accepted. Artist cannot be represented by a gallery in a top five U.S. markets (New York, Los Angeles, Chicago, Philadelphia and Boston). All art work submitted must have been completed after January 1, 2006. All submissions must be made via www.mylifeinsmiles.com (using the online application). Photos can be in black and white or color and must meet the posted technical specifications to be uploaded during the Entry Period to be eligible to enter the contest.

Limit one entry per email address/person throughout the duration of the program. If more than one entry is received per email address/person, only the first entry received will be eligible for the contest. All parts of the Entry must be submitted as described herein or the entire Entry will be void. All Entries become the property of Sponsor and will not be acknowledged or returned.

If the photo submission contains any person(s) other than the entrant, by entering this contest, entrant agrees to receive permission from other person(s) featured in photo (or from parent/legal guardian if other person(s) featured are considered minors in their state of residence) for Sponsor to use their likenesses for publicity including posting on website(s) and can make written copies of such permissions available to the Sponsor upon request. Entrant must also receive prior written permission from the photographer of the Entry releasing all rights if the photograph in the Entry was taken by someone other than the entrant him/herself. Additionally, if entrant is considered a minor in his/her state of residence, entrant will receive permission from their parent/legal guardian. PERSONS UNDER THE AGE OF 18 MAY NOT APPEAR IN THE PHOTO.

Entrant represents and warrants that (i) Entrant has the permission of all persons featured in the Entry and from the photographer (if not the entrant) to enter this Contest, (ii) Entry is the original work of the entrant and must be exclusively owned by the Entrant prior to entry and that rights in the Entry will not be transferred following the submission to the Contest and (iii) Entrant agrees to defend, hold harmless and indemnify Sponsor against any and all claims of alleged or actual infringement of any intellectual property rights, proprietary rights, rights of privacy and publicity, moral rights and rights of attribution raised by third parties against Sponsor in connection with the Entry. Entry must not have been submitted in any other competition or previously published, displayed, or presented in any public or commercial setting. Entry must be in keeping with Sponsor's image and may not be offensive, as determined by judges in their sole discretion, nor can it defame or invade publicity rights or privacy rights of any person, living or deceased, or otherwise infringe upon any person's personal or proprietary rights. By submitting you confirm you have cleared all usage rights associated with your submission. By submitting, if selected as a Finalist, you agree to license your submission non-exclusively to Procter & Gamble and Gen Art for usage online and via any Crest Whitestrips/ Gen Art event programming. I hereby grant The Procter & Gamble Distributing LLC and its affiliates, agents, employees and assigns (collectively, "P&G") full and irrevocable permission and authority to use, reproduce, copy, broadcast, publish, display, and make any other use of my name, statements, likeness, and image as appears in the Entry, and/or any material based upon or derived there from (collectively, "Images") in any and all media, throughout the world, in perpetuity, without further compensation, consideration, approval, or review by me. I hereby waive the right to inspect and approve any finished materials in which Images are used. Sponsor reserves the right in its sole discretion to disqualify any Entry at any time in the event it is determined that the entrant has not complied with these Official Rules.

4. ELIGIBILITY: Participation is open to all legal residents of the United States or the District of Columbia, and are 18 or older as of date of entry (and have your parent/legal guardian's permission to enter should you be a minor in your state of residence). Employees, officers & directors of The Procter & Gamble Distributing LLC ("Sponsor") and Gen Art and their respective parent companies, subsidiaries, affiliates, partners, dealers, advertising and promotion agencies, manufacturers or distributors of Contest materials and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees/officers/directors are not eligible to enter. All federal, state and local laws and regulations apply. Any Grand Prize Winner under the age of 21 must be accompanied by parent of legal guardian to the final showcase in New York, at the cost of the Grand Prize Winner. Void outside of the 50 United States and the District of Columbia, and where prohibited, taxed or restricted by law. Contest may only be entered in or from the 50 United States and the District of Columbia and entries originating from any other jurisdiction are not eligible for entry. This Contest is governed exclusively by the laws of the United States. You are not authorized to participate in the Contest if you do not reside within the United States.

5. JUDGING TO DETERMINE THE TWENTY-FIVE (25) FINALISTS: All eligible entries will be judged by a judging panel to determine twenty-five (25) Finalist Entries using the following criteria: Originality & Creativity of Entry - 50%; Appropriateness of Entry to Brand Image - 35%; Quality of Content and Style - 15%. In the event of a tie, the tie will be broken based on the highest score for Originality & Creativity of Entry. Decisions of judges are final on all matters relating this contest.

6. THE WINNERS: Beginning 8:00 a.m. (PT) on 5/1/08 through 5:00 p.m. (PT) on 5/15/08 ("Voting Period"), the twenty-five (25) Finalists ("Finalists") will be posted on http://www.mylifeinsmiles.com. The judges will determine the twenty-five (25) Finalists. Consumers will then have the opportunity to vote on their favorite entry from the twenty-five (25) Finalists to determine the one (1) Grand Prize Winner ("Grand Prize Winner"). You do not have to submit a photo to vote. At the end of the voting period, the entry that receives the most votes will be deemed the Grand Prize Winner. In the event of a tie among Finalists at the conclusion of the online voting period, the tie will be broken based judges' votes. Limit one vote per entry. If more than one vote is received, only the first vote received will be eligible.

7. PRIZES: 25 prizes, with a total approximate retail value ("ARV") of $4,460 will be awarded as follows: (1) Grand Prize - A 3-day/2-night trip for winner and one guest to New York City, NY. Prize includes round-trip coach air transportation for up to two people, hotel accommodations (1 room/double occupancy), airport transfers in destination city, a $1,000 cash prize awarded to the winner, and one box each of Crest Whitestrips Daily Whitening + Tartar Protection (ARV: up to $3,500). Winner and guest are solely responsible for all other expenses not specifically set forth herein, including but not limited to meals, additional transportation, souvenirs and other incidentals and items of a personal nature. Winner's guest must reside within the 50 United States or the District of Colombia. The actual retail value of the Grand Prize will depend on the number of travelers, their points of departure/return. The remaining twenty-four (24) Finalists will each receive one box of Crest Whitestrips Daily Whitening + Tartar Protection (ARV: $40 per prize, $960 for all Finalists). Limit one prize per person or household. Prizes consist of only those items specifically listed as part of the prize. There is no additional prize for achieving "Finalist" status.

8. GENERAL RULES: Prior to the Voting Period, potential Grand Prize Winner and Finalists (or parent/legal guardian if potential Grand Prize Winner and or Finalists is deemed a minor in his/her state of residence) will be required to complete an Affidavit of Eligibility certifying that the submission is his/her own original work and he/she holds all rights to the photo/entry, that the photo/entry has not been previously published, has not won a previous prize or award and that he/she has followed the Official Rules of the Contest. Additionally, potential Grand Prize Winner and Finalists (or parent/legal guardian if potential Finalist is deemed a minor in his/her state of residence) will be required to complete a Release of Liability, Prize Acceptance Form and, if legally permissible, a Publicity Release Form. All documents must be completed and returned within five (5) days of attempted delivery of same. Noncompliance within this time period may result in disqualification and the entry will be removed from the online voting page. Winners will be notified by mail/phone using the contact information submitted at entry. Winner's guest(s) (or parent/legal guardian if guest is a minor) must also complete and return a Release of Liability prior to travel. If winner is deemed a minor in his/her state of residence, winner's parent/legal guardian will be required to accompany winner on trip and will count as one of the winner's guest. All travelers must possess required travel documents (e.g., valid photo ID) prior to departure. Travel must be completed within one year of notification. No substitution or transfer of prize by winner permitted. Sponsor reserves the right to substitute prize of equal or greater value. All federal, state, and local taxes are the sole responsibility of winner. 1099 tax statements will be filed with the IRS for any winner whose prize value is or exceeds $600. Prizes will be awarded "as is" with no warranty or guarantee, either express or implied by Sponsor. Prizes cannot be transferred, substituted or redeemed for cash, except by Sponsor, in its sole discretion. Actual value of Grand Prize depends on the city of departure, time of travel, any airfare fluctuations, and any difference between the stated ARV and the actual value, if any, will not be awarded. All other expenses (including without limitation transportation to and from departure city, gratuities, incidental expenses, insurance and meals) not expressly stated herein are the sole responsibility of the Grand Prize Winner. Travel restrictions may apply and frequent flyer miles may not be available. One or more stopovers may be required on air transportation. Once travel is booked, no changes or cancellations will be accepted. No extensions or exceptions shall apply or be available. All travel is subject to availability and winner and guests are solely responsible for obtaining all necessary and required travel documents. Sponsor shall not be responsible for any lost or stolen tickets or similar items once they are in the winner's possession. Sponsor shall not be responsible nor liable for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carriers, hotels or others providing services or accommodations, including loss or damage to baggage. By accepting prize, winner (or parent/legal guardian if winner is a minor) agree to release and hold Sponsor, Gen Art, their respective directors, officers, employees and assigns, harmless from and against any and all claims and liability arising out of use of prize or any travel in connection therewith. Winner (or parent/legal guardian if winner is a minor) assume all liability for any injury or damage caused, or claimed to be caused, by participation in this promotion or use or redemption of any prize. Acceptance of prize constitutes permission for the Sponsor and its agencies to use winner's Entry, name and/or likeness for purposes of advertising and trade without further compensation or notification, unless prohibited by law. Entrants (or parent/legal guardian if entrant is a minor) agree to release, discharge and hold harmless Sponsor, its respective directors, officers, employees and assigns, harmless from and against any and all liability and damages. By participating in this promotion, entrants (or parent/legal guardian if entrant is a minor) agree to be bound by the Official Rules and the judges' decisions which are final. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any contest materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. All material submitted including the Entry becomes the sole property of Sponsor and will not be returned. Sponsor not responsible for any typographical or other error in the printing of the offer, administration of the contest or in the announcement of the prize. In no event will more than the stated number of prizes be awarded.

9. CONDITIONS: Entries may be cut, edited, reformatted, rearranged, combined with other materials and/or otherwise modified, in Sponsor's sole and absolute discretion. Any and all federal, state and local taxes are the sole responsibility of the winners. Participation in Contest and acceptance of prize constitutes each winner's permission for Sponsor to use his/her Entry, name, address (city and state), likeness, photograph, picture, portrait, voice, biographical information, submission and/or any statements made by each winner regarding the Contest or Sponsor for advertising and promotional purposes without notice or additional compensation, except where prohibited by law. By participating, entrants and winners agree to release and hold harmless Sponsor, its advertising and promotion agencies and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors, from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in Contest, or possession, acceptance and/or use or misuse of prize or participation in any Contest-related activity and for any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action. Entrants who do not comply with these Official Rules, or attempt to interfere with this Contest in any way shall be disqualified.

NOTICE TO ONLINE ENTRANTS: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Not responsible for faulty, incorrect or mistranscribed phone transmissions, errors or failures of any kind, lost or unavailable network connections, web site, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions, incorrect announcements of any kind, technical hardware or software failures of any kind including any injury or damage to any person's computer related to or resulting from participating in or experiencing any materials in connection with the promotion, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmission that may limit a user's ability to participate in the promotion. Sponsor reserves the right to cancel or modify the promotion if fraud, misconduct or technical failures destroy the integrity of the program; or if a computer virus, bug, or other technical problem corrupts the administration or security of the program as determined by Sponsor/judging agency/administrator, in their sole discretion. If technical malfunctions or suspect voting/irregularities corrupt the voting process, Sponsor reserves the right, in its sole discretion, to award prizes based solely on the Finalist Judging scores or non-suspect votes. In the event of termination, a notice will be posted online and entries will be judged from among all eligible entries received prior to termination. Any damage made to the Web Site will be the responsibility of the authorized e-mail account holder of the e-mail address submitted at the time of entry. Proof of submitting entries/votes will not be deemed to be proof of receipt by Sponsor. Any use of robotic, automatic, programmed or the like methods of participation/voting will void all such submissions by such methods. Sponsor reserves the right to prohibit the participation/voting of an individual if fraud or tampering is suspected or if the account holder fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules.
